Trust company responsible for overseeing a company's outstanding shares to ensure that the number of preferred and common shares issued does not exceed the number authorized. When a transaction takes place, the registrar receives the cancelled certificate and the newly issued certificate from the transfer agent, records it in its registers, and signs it. In effect, the registrar acts as an auditor who verifies the accuracy of the work performed by the transfer agent, although in most cases the functions of registrar and transfer agent are performed by the same trust company.
